The formula, worked line by line
The multiplier is an average and the average is exact. The Gregorian calendar grants a leap day every fourth year, withholds it in years divisible by one hundred, and restores it in years divisible by four hundred, which yields 97 leap days per four centuries rather than 100.

Four hundred years therefore contain exactly 146,097 days. Dividing by 400 gives 365.2425 with nothing left over, which is why this figure is written as a terminating decimal rather than an approximation.

No actual year is this length. A common year is 365 days and a leap year 366; the decimal is what a year averages across the full 400-year cycle, which is the right figure for a duration and the wrong one for a date.
Why 365.25 is the wrong shortcut
It is the Julian year, the calendar the Gregorian reform replaced. It grants a leap day every four years with no exceptions, giving 100 per four hundred years instead of 97. Over that span it produces three days more than the calendar actually contains, and the error only ever grows.

Where the Julian year is still correct
Astronomy kept it. The light-year is defined using the Julian year of exactly 365.25 days, because a fixed conventional length is more useful there than a calendar average. So 365.25 is not a mistake in every context — it is a mistake in calendar arithmetic.

The century figure is the tell. A hundred Julian years would be 36,525 days; a hundred Gregorian years average 36,524.25, because most centuries skip a leap day. That three-quarter-day difference per century is small, and it is the entire reason the calendar was reformed in 1582.
For ordinary spans the mean year is both accurate and stable. A twenty-five year term is 9,131.06 days regardless of when it starts, whereas counting real dates would give 9,131 or 9,132 depending on the leap years crossed. The average is the honest answer to a question about duration.

The clause everyone forgets
Most people can state the leap rule as "every four years" and stop. The full rule has three clauses: divisible by four is a leap year; divisible by one hundred is not; divisible by four hundred is after all. The second clause is the one that gets dropped, and it is the one that fixes the calendar.
Nobody alive has needed it. The last skipped century year was 1900 and the next is 2100, so everyone born in the twentieth or twenty-first century has lived through exactly one century year — 2000 — and it happened to be a leap year under the third clause. The exception has been invisible for over a century.

A great deal of software written since 1900 has never had its century handling exercised, because the only century year it has seen was the one that behaved like an ordinary leap year. That is a class of bug waiting for February 2100.
The three removed days per four hundred years are what separate the Gregorian calendar from the Julian one. It sounds like a rounding and it is not: by 1582 the accumulated Julian drift had reached ten days, which is why the calendar jumped from 4 October straight to 15 October that year.
Average years against real ones
No single year is 365.2425 days long. Every actual year is 365 or 366. The decimal describes what a year is worth across a long run, which is exactly the right quantity for a duration and exactly the wrong one for a date.
The distinction bites on anniversaries. Ten years after a date is the same date ten years later, whatever the day count in between — either 3,652 or 3,653 depending on the leap years crossed. Ten years as a duration is 3,652.43 days. Both are correct answers to different questions.

Which of the last two you get depends on the start date. A decade beginning just after a leap day catches three; one beginning just before catches two.
The practical rule is simple. If somebody is going to put the number in a calendar, count dates. If it is going into a report, a contract description or a comparison, the mean year is the stable answer and does not shift depending on when the clock started.
